A reputable microfinance Bank is looking for a competent and well experienced Company secretary.
Job Responsibilities

  1. Facilitating Board and Management meetings.
  2. Preparing agenda as well as taking minutes of board meetings, annual general meetings (AGMs), Management & Executive Management committee meetings
  3. Organizing the Annual Board Retreat
  4. Maintaining statutory books, including registers of members, directors and secretaries
  5. Handlingallcorrespondence,collatinginformation,writingreportsandensuringthat decisions made by the board are communicated to the relevant company stakeholders
  6. Contributing to meeting discussions, as and when required, and advising directors of the legal, governance implications of proposed policies
  7. EnsuringcompliancewithPostlistingrequirementoftheCBN
  8. Ensuring that the Bank and its subsidiaries comply with all applicable codes on Corporate Governance.
  9. Prepare performance evaluations for all personnel in the Unit in accordance with the Bank’s performance appraisal system.
    10.Ensure the filing of all statutory filing to NSE, SEC, CAC, CBN etc 11.Perform other duties as assigned to by the Managing Director 12.Assist in preparation collation and forwarding of Board paper etc.
